Terms and Conditions
Welcome to EdCover, a student insurance solution offered by Edvisor Technologies Inc. ("Edvisor"). By accessing and using EdCover, you agree to be bound by these terms and conditions ("Terms"). Please read them carefully before using EdCover.
1.0 Introduction and Overview
1.1 EdCover is a student insurance distribution platform that enables education agencies and schools to offer insurance products to international students through Edvisor's platform.
1.2 Edvisor acts as a technology intermediary connecting insurance providers with education agencies and schools. Edvisor is not an insurance provider and does not underwrite any insurance policies.
1.3 All insurance policies distributed through EdCover are underwritten by third-party insurance providers. The terms, coverage, and conditions of each insurance policy are determined solely by the respective insurance provider.
2.0 Definitions
2.1 "Platform" refers to the EdCover insurance distribution system accessible through Edvisor's software.
2.2 "Partner" refers to any education agency, school, or institution that uses EdCover to distribute insurance products to students.
2.3 "Student" refers to the end recipient of an insurance policy distributed through EdCover.
2.4 "Insurance Provider" refers to the third-party company that underwrites and issues the insurance policies available through EdCover.
3.0 Eligibility and Access
3.1 Access to EdCover is available exclusively to Edvisor customers with an active subscription to Edvisor for Agents or Edvisor Distribute.
3.2 Partners must comply with all applicable local regulations regarding the distribution of insurance products in their respective jurisdictions.
3.3 Edvisor reserves the right to restrict or terminate access to EdCover at any time if a Partner is found to be in violation of these Terms or applicable laws.
4.0 Commission and Payments
4.1 Partners may earn commissions on insurance policies sold through EdCover, subject to the commission structure agreed upon between the Partner and Edvisor.
4.2 Commission rates and payment schedules are outlined in the Partner's service agreement with Edvisor and may be updated from time to time.
4.3 Edvisor reserves the right to adjust commission structures with 30 days' written notice to affected Partners.
5.0 Responsibilities
5.1 Partners are responsible for ensuring that accurate and complete information is provided when submitting insurance applications on behalf of students.
5.2 Partners must not make any representations or guarantees about insurance coverage that are not explicitly stated in the insurance policy documents provided by the Insurance Provider.
5.3 Edvisor is responsible for maintaining the technical infrastructure of the EdCover platform but is not responsible for the insurance products themselves.
6.0 Privacy and Data Protection
6.1 All personal data collected through EdCover is managed in accordance with Edvisor's Privacy Policy and applicable data protection laws.
6.2 Partners must obtain appropriate consent from students before submitting their personal information through the EdCover platform.
6.3 Edvisor may share student data with Insurance Providers solely for the purpose of processing insurance applications and managing policies.
7.0 Disclaimer of Warranties and Liability
7.1 Edvisor provides EdCover on an "as is" basis and makes no warranties, express or implied, including without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.2 Edvisor shall not be liable for any damages arising from the use or inability to use EdCover, including but not limited to, direct, indirect, incidental, special, consequential, or punitive damages.
7.3 Edvisor is not liable for any claims, disputes, or issues arising from the insurance policies themselves. All such matters should be directed to the relevant Insurance Provider.
8.0 Modification and Termination
8.1 Edvisor reserves the right to modify or terminate EdCover, in whole or in part, at any time. Edvisor shall provide reasonable notice of any material changes to these Terms.
8.2 Upon termination, any outstanding commissions owed to Partners will be paid according to the existing payment schedule.
9.0 Governing Law and Jurisdiction
9.1 These Terms shall be governed by and construed in accordance with the laws of the province of British Columbia and the federal laws of Canada applicable therein, without giving effect to any principles of conflicts of law.
9.2 Any dispute arising out of these Terms shall be resolved exclusively in the courts located in the city of Vancouver, British Columbia.
10.0 Miscellaneous
10.1 These Terms constitute the entire agreement between you and Edvisor with respect to EdCover, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
10.2 If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
10.3 Edvisor's failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Edvisor in writing.
